You will independently and autonomously perform a full range of legal services and maintain a diverse workload, but your primary focus will be on negotiating a wide variety of contracts, including in-licensing agreements, software licenses, SaaS agreements, hosted managed services agreements, and professional services agreements.As a Legal Counsel, you will:

Work with internal groups including Sales, R&D, Finance, Professional Hosting and Services, and other departments to structure customer proposals and agreements.
Prepare and negotiate transactional agreements with customers, including license agreements, professional services agreements and hosted managed services agreement
Review and negotiate in-licensing agreements and procurement contracts with SAS vendors.
Advise technical and business development teams on legal matters through stages of product development.
Manage legal business matters pertaining to SAS as assigned.
Provide a variety of general corporate and commercial legal services to in-house clients.
Regularly interact with senior internal and external individuals.
Research and analyze proposed transactions, assess risks and rewards, and recommend strategies to minimize risk to the company.
Lead contractual negotiations and interact regularly with senior internal stakeholders and external counterparties.

Required Qualifications

Typically requires a minimum of four plus years of related experience.
Law Degree from an accredited law school.
Professional working proficiency in English.
Impeccable attention to detail
Demonstrated ability to convey positions and concepts persuasively to legal and non-legal audiences.
A seasoned, experienced and creative professional with a full understanding of area of specialization.

Prior in-house legal experience, ideally within a technology or software environment.
Prior experience with SaaS, in-licensing agreements or other technology agreements.
Professional working proficiency in Mandarin (Traditional Chinese and or/Simplified Chinese) to provide ad hoc legal assistance to the Hong Kong and Taiwan businesses
Background in private practice at a mid- to large-size law firm.
Experience negotiating Australian and/or New Zealand contracts.
Experience advising on public sector, government and/or regulated-customer contracts.
