Job Description :· Assist in preparing statutory documents to ensure compliance with applicable legislation, including the Companies Act 2016, Capital Markets and Services Act 2007, and the Malaysian Code on Corporate Governance.· Support the preparation of secretarial materials for the Annual Report, AGM, EGM, and Circulars to Shareholders, including participation in Annual Report, AGM, and EGM committees, and liaising with registrars and mailers to ensure timely issuance.· Assist in organizing and coordinating Board, Management Committee, Exco, and General Meetings, and support the communication of Board and/or Committee decisions while disseminating relevant information to operating units and other stakeholders as directed.· Serve as secretary to the Exco and Management Committee, ensuring proper documentation and coordination of meetings.· Assist in compiling and maintaining corporate records, including the master list of companies, subsidiaries, associates, joint ventures, directors, and other relevant corporate information.· Assist in drafting, reviewing, and verifying board papers, as well as validating secretarial and corporate information in audited financial statements and other submission documents, and reviewing corporate exercise documents prior to submission to authorities to ensure completeness and accuracy.· Liaise with external company secretaries to ensure the proper maintenance and safekeeping of statutory registers, books, records, and files in compliance with legal requirements.· Support the implementation and monitoring of the Corporate Compliance Program, including assisting in its evaluation and effectiveness.· Perform administrative duties and other reasonable and lawful tasks as assigned from time to time.Requirements· Possess a professional qualification such as ICSA or an equivalent qualification, or hold a Bachelor’s Degree in Law.· 4 to 8 years of working experience in Company Secretarial practice, preferably with exposure to a large or established secretarial firm.· Excellent communication and interpersonal skills are essential to effectively engage with internal and external stakeholders.· Demonstrate strong proficiency in both spoken and written English and Bahasa Malaysia.· Strong organizational and planning abilities to manage multiple assignments and deadlines efficiently.· A team player who is mature, reliable, and resourceful, with good analytical skills.· Self-motivated and capable of working independently with minimal supervision, while maintaining a high level of accountability.· Computer literacy and the ability to use standard office applications are also required.
